1. Introduction

These Terms & Conditions (“Terms”) govern your use of services provided by Fortuixagent (“we”, “us”, “our”) in South Africa and your use of our website.

2. Definitions

• Client — a person or entity that purchases or uses our services.
• Services — professional services and related consulting delivered by Fortuixagent.
• Website — fortuixagent.co.za and associated pages.

3. Accounts & Accuracy

• You are responsible for maintaining the confidentiality of your login credentials.
• You must provide accurate, current, and complete information and keep it updated.

4. Services

• Scope, deliverables, and timelines may be defined in proposals, statements of work, or email confirmations.
• We may engage trusted subcontractors/partners where appropriate; we remain responsible for delivery.

5. Fees & Payments (ZAR)

• Unless stated otherwise, prices are in South African Rand (ZAR) and exclusive of taxes.
• Invoices are payable within the agreed period stated on the invoice or contract.
• Late payments may accrue interest as permitted by applicable law.

6. Acceptable Use

• Do not use the Services for unlawful, harmful, or fraudulent activities.
• No attempts to disrupt, overload, or gain unauthorised access to systems or data.

7. Intellectual Property

• All website content, trademarks, and materials are owned by Fortuixagent or its licensors.
• Deliverables ownership/licence will be set out in the relevant agreement or SOW.

8. Confidentiality & POPIA

• Each party must protect the other’s confidential information and use it only for the engagement.
• We process personal information in accordance with South Africa’s POPIA and our Privacy Policy.

9. Disclaimers

Services are provided on a professional, commercially reasonable basis. We do not guarantee specific outcomes unless expressly stated in writing.

10. Limitation of Liability

To the maximum extent permitted by law, Fortuixagent is not liable for indirect, incidental, or consequential damages. Our aggregate liability is limited to the fees paid for the specific Services giving rise to the claim during the 6 months preceding the claim.

11. Indemnity

You agree to indemnify and hold Fortuixagent harmless from claims arising from your misuse of the Services or breach of these Terms.

12. Termination

• Either party may terminate for material breach not remedied within a reasonable period after notice.
• Upon termination, you remain responsible for fees due for work performed up to the termination date.

13. Governing Law

These Terms are governed by the laws of the Republic of South Africa.

14. Dispute Resolution

Parties will attempt to resolve disputes amicably; failing that, the dispute will be referred to competent courts/tribunals in South Africa or to agreed arbitration/mediation.

15. Changes to These Terms

We may update these Terms from time to time. Significant changes will be notified via email or website notice. Continued use after changes constitutes acceptance.
